1. Description of Service

Grove Health, a service operated by PJC Technologies Co LLC, a Delaware limited liability company registered to do business in the State of New York ("Grove Health," "the Platform," "we," "us," or "our") is an AI-powered recruitment and onboarding service that connects caregiver candidates with employers. Our Platform facilitates the recruitment screening process through automated voice interviews, document verification, and profile management. By accessing or using the Platform, you agree to be bound by these Terms and Conditions.

2. SMS Messaging Terms

Grove Health offers an optional SMS messaging program for caregiver candidates. You are enrolled only if you affirmatively check the SMS consent box during signup. Consent to receive text messages is not a condition of signing up for or using Grove Health.

• Program description: Messages relate to your Grove Health application, including onboarding instructions, document submission reminders, and job opportunity notifications.
• Message frequency varies based on your onboarding status and activity.
• Message and data rates may apply.
• Opt-out: Reply STOP at any time to unsubscribe. You will receive one confirmation message and no further messages. Opting out of SMS does not affect your ability to use Grove Health — you can complete every step of the application and onboarding process by email instead.
• Help: Reply HELP for assistance.
• Carrier disclaimer: Wireless carriers are not liable for delayed or undelivered messages.
• Grove Health will not share your mobile number or SMS consent with third parties or affiliates for marketing or promotional purposes, and never with prospective employers you may be matched with. We share your mobile number only with the service providers that help us deliver these messages (such as our SMS provider), solely for that purpose.

3. Consent to AI Voice Interview

Grove Health conducts recruitment screening through an automated, AI-powered voice call. If you participate in this interview, you acknowledge and agree to the following:

• The interview call is conducted by an automated AI system, not a human recruiter.
• The call will be recorded, transcribed, and summarized for the purpose of creating your caregiver profile and evaluating your qualifications. You consent to this recording and transcription.
• Transcripts and summaries derived from the interview may be shared with employers considering you for employment opportunities to support the placement process.
• Participation in the AI voice interview is one way to complete your profile. If you prefer not to receive an automated call, contact us at support@joingrove.health to discuss alternatives.

4. User Responsibilities

By using the Platform, you agree to:

• Provide accurate, complete, and truthful information throughout the onboarding process, including your name, contact details, work experience, and submitted documents.
• Not submit fraudulent, forged, or misrepresenting documents, including identification and certifications.
• Use the Platform solely for lawful purposes and in accordance with these Terms.
• Not attempt to reverse engineer, disrupt, or interfere with the Platform or its underlying systems.
• Promptly notify us of any unauthorized use of your account or contact information.

We reserve the right to suspend or terminate access for any user found to be in violation of these responsibilities.

5. Data Sharing

By using the Platform, you acknowledge and consent to the following data sharing practices:

• Grove Health operates on a non-exclusive basis: your caregiver profile, including work experience, skills, and interview summary, may be shared with multiple employers for employment matching purposes. You consent to being presented to more than one employer simultaneously.
• Onboarding documents you submit — including but not limited to your driver's license, passport, and certification cards — may be shared with employers considering you for employment. These documents are shared only as necessary to facilitate employment matching and onboarding.
• Grove Health does not sell, rent, or share your personal information with third parties for marketing, advertising, or any purpose other than employment placement and onboarding support.
• Data shared with employers is limited to what is necessary to facilitate employment matching and onboarding. You have the right to request which employers have received your information.

5.5 Important Disclaimers About Employment, Placement & Screening

Grove Health is a recruitment and onboarding platform. Grove Health does not hire, employ, or become a joint employer of caregivers. Grove Health's role is to facilitate introductions between caregivers and employers; the final hiring decision rests solely with the employer.

Placement Eligibility: While Grove Health completes screening and onboarding support, placement with an employer depends on the employer's independent review of your qualifications, background, and fit with their specific requirements. Grove Health does not guarantee placement with any employer.

Eligibility Screening: As part of maintaining its caregiver network, Grove Health itself checks caregivers against free, publicly available government exclusion and registry databases — including federal exclusion lists, sex-offender registries, and applicable state registries — to determine eligibility to participate in the Grove Health network. Grove Health does not conduct criminal history background checks and does not use third-party consumer reporting agencies to screen caregivers. Any criminal background check is conducted by the hiring employer under its own process, using its own vendors, and subject to its own adverse-action procedures.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that using the Platform will result in employment placement or that any employer will extend an offer of employment to any caregiver candidate.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Our total liability to you for any claims arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so the above limitations may not apply to you.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms to the Platform with a new "Last updated" date. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
